Business-to-Business Terms & Conditions

These Business-to-Business Terms & Conditions (“Terms”) apply to all products and services supplied by TheBikeAds (“we”, “us”, “our”) via thebikeads.co.uk or otherwise.

By placing an order, booking services, or making payment, the Client confirms that it is acting in the course of business and not as a consumer.

1. B2B Scope Only (No Consumer Sales)

1.1 Our products and services are supplied exclusively to businesses, including companies, partnerships, agencies, public bodies, and sole traders acting in a business capacity.

1.2 Consumer purchases are not accepted.
Statutory consumer protections (including the Consumer Contracts Regulations 2013) do not apply.

1.3 By placing an order, the Client confirms it has the authority to bind the business it represents.

2. Orders, Customisation & Final Sale

2.1 All hardware sold by TheBikeAds is custom-made, customised, or supplied for commercial use.

2.2 All hardware sales are final.
Once an order is confirmed and payment is received:

The order cannot be cancelled
No refunds or exchanges will be issued
No right of return applies

2.3 This applies without limitation to:

Ad Bike trailers and frames
Extensions, weight kits, wheel covers
Printed banners and graphics
Any bespoke or modified equipment

2.4 The Client accepts full responsibility for ensuring the product specification is correct prior to confirmation.

3. No Refunds Policy

3.1 No refunds are offered under any circumstances for hardware or custom products, including (but not limited to):

Change of mind
Campaign cancellation
Incorrect measurements or formats supplied by the Client
Planning, venue, or permission issues

3.2 Deposits and advance payments for services are non-refundable, unless otherwise agreed in writing.

4. Services, Campaigns & Cancellations

4.1 Services are confirmed only upon written confirmation and receipt of payment (or agreed deposit).

4.2 Cancellation by the Client:

Less than 72 hours’ notice: 100% charge
Same-day cancellation: 100% charge

4.3 Outdoor advertising is subject to external factors including weather, footfall, and local conditions. These do not constitute grounds for refunds.

4.4 Where possible, rescheduling may be offered at our discretion, but is not guaranteed.

5. Pricing & Payment

5.1 All prices are quoted exclusive of VAT unless stated otherwise.

5.2 Invoices must be paid in full by the due date shown.

5.3 We reserve the right to:

Suspend services
Withhold delivery
Cancel future bookings
in the event of late or non-payment.

5.4 Title to hardware remains with TheBikeAds until payment is received in full.

6. Printing, Artwork & Third Parties

6.1 Where printing or logistics are fulfilled via third parties:

We are not liable for delays beyond our control
The Client is responsible for final artwork approval

6.2 Reprints resulting from Client-approved errors or late changes are chargeable.

7. Compliance & Content Responsibility

7.1 The Client is solely responsible for ensuring that all advertising content complies with:

Applicable laws and regulations
Local authority rules
Venue or landowner permissions

7.2 We accept no liability for fines, enforcement actions, or campaign interruption arising from content or placement.

8. Limitation of Liability

8.1 Our total liability is limited to the value of the specific product or service supplied.

8.2 We shall not be liable for:

Loss of profit
Loss of revenue
Loss of business or contracts
Indirect or consequential losses

9. Intellectual Property

All intellectual property, designs, visuals, and concepts created by TheBikeAds remain our property unless otherwise agreed in writing.

10. Governing Law

These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.

11. Acceptance of Terms

Placing an order, making payment, or booking services constitutes full acceptance of these Terms.
